About the role
Director, Legal - Projects & Transactions, EMEA Location: London, United Kingdom Role Summary This is an opportunity to be at the heart of STACK's EMEA data centre development and investment activity. As Director, Legal - Projects & Transactions, EMEA, you will be embedded with the teams shaping and delivering projects across the region, providing strategic and hands-on legal advice from the earliest opportunity assessment through acquisition, development, construction, leasing and operation. You will play a key role in negotiating significant construction and project agreements, structuring complex transactions, managing legal and commercial risk and providing practical solutions to support business objectives. Key Responsibilities • Lead legal support across STACK's EMEA development and investment portfolio, from early opportunity assessment and due diligence through acquisition, development, construction, leasing and operation. • Be a trusted legal business partner to Development, Construction, Power, Commercial and Finance, engaging early in projects and transactions to shape structure, risk allocation and practical solutions that support business objectives. • Lead the drafting, review and negotiation of significant construction and project agreements with contractors, suppliers and vendors, including construction contracts, professional services agreements and frameworks, with a focus on appropriate risk allocation and commercial outcomes. Also advise on SPAs, joint venture and development agreements, PPAs and other power arrangements, easements and land rights, and commercial leases. • Shape and develop STACK's EMEA contracting strategy through standard forms, contracting positions, precedents, negotiation guidance and other tools that make delivery more consistent and efficient. • Instruct and manage external counsel across EMEA where local law or specialist advice is required, ensuring advice is practical, timely and commercially focused while managing scope, quality and legal spend. • Provide pragmatic advice on wider commercial, corporate and operational matters, identify and escalate material risks, and help strengthen legal processes and ways of working as the EMEA business develops. What You'll Bring • Qualified to practise law in the UK or an equivalent European jurisdiction. • Significant post-qualification experience advising on complex project and transactional matters, gained in private practice, in-house or a combination of both; experience partnering directly with construction or project delivery teams is important. • Strong legal experience supporting the construction and delivery of major infrastructure, engineering, energy, real estate development or other complex capital projects. Experience of data centre construction is particularly welcome; IT services or technology contracting experience alone is not sufficient. • Strong drafting and negotiation skills, with personal ownership of substantial, high-value contracts and the ability to manage commercial and legal risk over long project lifecycles. • Commercially minded, with sound judgement and the ability to assess legal and commercial risk, focus on what matters and give clear, actionable advice. • Experience working across multiple EMEA jurisdictions and coordinating external or local counsel where required. • Able to build trusted relationships with senior stakeholders and project teams, influence across functions and jurisdictions, take ownership of matters and manage changing priorities independently, balancing legal rigour with the need to keep projects moving. What We Offer • The opportunity to work on critical infrastructure that supports the digital economy. • The chance to build your career with STACK Infrastructure in a high-growth data
