US H-1B: cap-subject employers enter a lottery weighted by wage level — Level I gets 1 entry, Level IV gets 4 (DHS projected selection odds ≈15% at Level I to ≈61% at Level IV). Universities and non-profit research employers are cap-exempt. The $100,000 fee for new petitions from abroad is currently blocked by a court order (appeal pending).

We have a preference for New York based candidates, but are open to hearing from remote candidates throughout the United States (must be based on the East Coast).
What you’ll be doing:
• Build and scale the corporate legal function
• Manage our equity program, with the assistance of our Equity Plan Manager (who will report into you)
• Drive transaction readiness and other compliance efforts, including the development and maintenance of policies, procedures, and training initiatives
• Provide legal support for corporate transactions, including securities offerings, financings, investments, acquisitions and divestitures and other strategic transactions, and provide oversight on executive compensation administration
• Assist with the preparation and planning for board and committee meetings and the annual meeting of stockholders

• Collaborate cross-functionally with other members of the team and other functions including Finance, HR, Marketing, and staff across other departments
What you’ll need:
•
• J.D. degree from an A.B.A. accredited law school; and admitted and member in good standing of a state bar, preferably New York or California
• 5+ years of experience as a corporate and securities counsel. Not required, but a bonus if you have experience working in-house

• High ethical standards and strong communication skills
• Willingness to work cross-functionally and on projects that are new and/or unfamiliar
