About the role

Purpose & Scope of role • Transaction Management is the centre of execution expertise for Corporate Leverage, working alongside originators as one deal team from first engagement through credit approval to completion. Transactions span acquisition finance for owner-managed businesses, sponsor-backed buyouts and stretch senior lending, including a specialist healthcare franchise, for businesses typically generating EBITDA of £1m to £10m+, giving exposure across the full breadth of UK lower mid-market cashflow lending. • As Associate Director, you will be a core member of the deal team on your allocated transactions, supporting the originating Director and, on more complex transactions, a Transaction Management Director leading execution. You will also act as key origination support for Directors on the origination side. • You will lead the modelling and analysis, prepare credit papers, support diligence and the legal process, and develop Analysts on live deals. Key Responsibilities Drive Execution • Work as part of the deal team from first engagement through credit approval and completion, keeping momentum across every workstream. • Own the financial model, building it or reviewing Analysts’ work, and stress-test downside scenarios. • Review diligence reports and contribute to structuring and terms, giving the deal team a clear view of credit and execution implications. • Own conditions tracking, funds flow and signing, and support the legal process, communicating directly with clients, advisers and lawyers on execution matters. • Support material follow-on funding, amendments and refinances alongside Portfolio Management. Origination Support • Act as key origination support for Directors: prepare pitch materials, attend client and adviser meetings, and form early views on structure and pricing. • Build and own relationships with advisers, investors and management teams, developing your own presence in the market. • Contribute to Corporate Leverage’s origination, profitability and return on equity targets. Make the Credit Case • Prepare credit papers that are decision-ready, balanced and anchored in the key risks. • Support the credit process, responding to credit queries and contributing to committee discussions. Develop People and Work Across the Business • Lead and develop Analysts on live deals, setting a high standard for analysis and delivery. • Work closely with Credit, Legal, Operations, Finance and Portfolio Management to keep deals moving. • Contribute to an accountable, collaborative and direct culture. Act with Judgement on Risk, Governance and Conduct • Spot credit, operational and reputational issues early and raise them with the deal team, so structure and protections reflect the key risks. • Ensure transactions comply with the relevant Asset Class Policy and credit approval conditions. • Maintain strong governance and conduct discipline throughout: clear rationale, strong documentation, no surprises. Skills & Experience • Track record executing senior cashflow or leveraged finance transactions end-to-end, including legal documentation. • Strong credit, analytical and financial modelling skills, with excellent attention to detail. • Prepares clear, balanced credit papers and handles credit queries with confidence. • Manages multiple live transactions and competing deadlines without losing quality. • Builds strong relationships with clients, advisers and internal stakeholders, and communicates with confidence on execution matters.
